TULA Capital network members ("TULA", "we", "us", "our") are dedicated to protecting the confidentiality of information shared with us by our clients, partners, and other parties in the course of business discussions. This confidentiality policy (the "Policy") outlines how we handle, use, and disclose such confidential information in the course of our business activities.

2. Definition of Confidential Information

"Confidential Information" refers to any non-public information provided by our clients, partners, or other parties that is:

Explicitly designated as confidential, or
Given the nature of the information or the circumstances surrounding its disclosure, should reasonably be considered as confidential

This includes, but is not limited to:

Business plans and strategies
Financial data, statements, and projections
Customer and supplier information
Technological innovations and intellectual property
Marketing strategies and competitive information
Transaction terms and negotiations
Any other proprietary or sensitive business information

3. Handling of Confidential Information

We are committed to maintaining the confidentiality of all Confidential Information and ensuring it is not disclosed to third parties, except as outlined in this Policy.

Permitted Use: The use of Confidential Information will be strictly limited to:

Evaluating potential business relationships
Assessing investment or financing opportunities
Providing advisory services as requested
Fulfilling obligations under any engagement or service agreement

Protection Measures: We implement appropriate safeguards to protect Confidential Information, including:

Restricting access to those with a legitimate need to know
Secure storage and transmission practices
Training team members on confidentiality obligations

4. Permitted Disclosure

We may disclose Confidential Information to third parties only in the following circumstances:

Financing Partners and Lenders

When necessary for the evaluation of a potential business relationship, investment opportunity, or financing transaction, we may share Confidential Information with prospective lenders, investors, or financing partners. With Your Consent

5. Legally Compelled Disclosure

Should we be legally compelled to disclose Confidential Information (e.g., by court order, subpoena, or regulatory requirement), we will:

Endeavor to notify the concerned party promptly, unless prohibited by law
Cooperate to the extent reasonably possible in protecting against or minimizing such disclosure

Seek confidential treatment of the disclosed information where available

6. Data Retention and Return

Upon termination of the business relationship and at your request, we will:

Return or securely destroy all copies of Confidential Information in our possession
Certify such return or destruction in writing if requested

Exception: We may retain Confidential Information to the extent required by:

Applicable laws or regulations
Internal compliance, audit, or record-keeping requirements
Professional liability insurance requirements

Any retained information will continue to be subject to the confidentiality obligations of this Policy.

7. No Warranty

TULA Capital network members do not guarantee or make any representations regarding the accuracy, completeness, or reliability of any Confidential Information provided to us or by us. Each party is responsible for conducting its own due diligence and analysis.

8. Exclusions from Confidential Information

This Policy does not apply to information that:

Is or becomes publicly available through no breach of this Policy
Was rightfully in our possession prior to disclosure
Is independently developed by us without use of or reference to Confidential Information
Is rightfully received from a third party without confidentiality obligations

9. Policy Acknowledgement

By sharing Confidential Information with us, or by receiving Confidential Information from us without prompt written objection, you acknowledge and consent to the terms of this Policy.

Reference to this Policy in agreements, engagement letters, or communications with clients, financing partners, or other parties, without any prompt written dissent, will constitute acknowledgment and acceptance of the terms of this Policy.

10. Amendments

This Policy may be amended from time to time at the discretion of TULA Capital network members. Updated versions will be posted on this website with a revised effective date.

For changes to apply retroactively to previously disclosed Confidential Information, we will communicate such changes to the relevant parties. Continued sharing of Confidential Information after notification of changes constitutes acceptance of the amended Policy.

11. Governing Law and Jurisdiction

This Policy shall be governed by the laws applicable to the TULA Capital network member with whom you are primarily engaged:

Germany / EU Operations

Governed by German law. Jurisdiction: Berlin, Germany.

Switzerland Operations

Governed by Swiss law. Jurisdiction: Zurich, Switzerland.
